1. Service Description
Digintu Tech Ltd provides an integration middleware ("the Service") designed to facilitate automated financial workflows, payment generation, and document parsing for the Xero accounting platform. By authenticating your Xero account with Digintu, you authorize the Service to read and write data to your Xero organization strictly according to your configured workflows.
2. Authorized Access & Subscriptions
You agree to safeguard your authentication credentials. Subscriptions are billed on a recurring basis via Stripe. Downgrades or cancellations take effect at the end of the current billing cycle. Misuse of the platform, including intentional manipulation of the API to bypass tier limits, will result in immediate suspension.
3. Limitation of Liability
The Service is provided "as is" to streamline accounting tasks. Digintu does not provide financial or tax advice. You are solely responsible for reviewing the accuracy of all generated PAIN.001 payment files, ZUGFeRD documents, and reconciled ledger entries before final execution at your bank or submission to tax authorities. In no event shall Digintu's aggregate liability exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.
4. Accuracy of Third-Party Integrations
Our workflows rely on the continuous availability of third-party APIs (Xero, Google Drive, Swiss Zefix). We are not liable for service interruptions caused by upstream API deprecations, rate limiting, or network failures outside our direct control.
5. Governing Law
These Terms of Use shall be governed by and construed in accordance with the substantive laws of Switzerland. The exclusive place of jurisdiction for all disputes arising out of or in connection with this agreement shall be the courts of Geneva, Switzerland.
